OUR PEOPLE G4-40 Nomination of Directors As of December 31, 2016, The Corporation’s Board of Directors consisted of 10 directors, with one additional directorship being vacant, all of whom are appointed by the sole shareholder of Toronto Hydro Corporation, the City of Toronto. Pursuant to the Shareholder Direction, in electing directors to the Board, the city gives due regard to the qualifications of a candidate, including: • Experience or knowledge • Commercial sensitivity and acumen • Independence of judgment • Personal integrity The city seeks candidates with experience and knowledge in: • Public utility commissions or boards of major corporations or other commercial enterprises • Corporate finance • Corporate governance • Market development • Large system operation and management • Urban energy industries • Public policy issues and laws relating to Toronto Hydro, the electricity industry, environmental matters, labour relations and occupational health and safety issues Each citizen director is elected to serve for a term of up to two years or until his or her successor is appointed and may be elected for a maximum of four consecutive terms for a maximum of eight consecutive years or such longer term until a successor is appointed. Each City Councillor director is elected to serve for two years or until his or her successor is elected. As of December 31, 2016, female directors constituted 30% (three of 10) of the members of Toronto Hydro Corporation’s Board of Directors.
