G4-SO4 Anti-corruption training In mid-2014, a detailed online training module was developed and implemented to assist employees in understanding the Code of Business Conduct and issues surrounding corruption and conflicts of interest. By the end of 2014, 77% of employees (including students) completed the anti-corruption training and the remainder completed this training in 2015. G4-40 Nomination of Directors As of December 31, 2014, the Corporation’s Board of Directors (the “Board”) consisted of nine directors, with two additional directorships being vacant, all of whom were appointed by the sole shareholder of Toronto Hydro Corporation, the City of Toronto. The members of the Board as of December 31, 2014 were: Colum Bastable, Glenna Carr, Derek Cowbourne, Sara Gelgor, Councillor Stephen Holyday, Paulette Kennedy, Isabel Meharry, Deputy Mayor Denzil Minnan-Wong, and David Williams (Chair). Pursuant to the Shareholder Direction, in electing directors to the Board, the City gives due regard to the qualifications of a candidate, including: • Experience or knowledge • Commercial sensitivity and acumen • Independence of judgment • Personal integrity The City seeks candidates with experience and knowledge in: • Public utility commissions or boards of major corporations or other commercial enterprises • Corporate finance • Corporate governance • Market development • Large system operation and management • Urban energy industries • Public policy issues and laws relating to Toronto Hydro, the electricity industry environmental matters, labour relations and occupational health and safety issues Each director is elected to serve for two years or until his or her successor is elected. Each City Councillor director is also elected to serve for two years or until his or her successor is elected.
